AMD's filing puts a $2.9B price on its Taalas acquisition, up to $1.4B of it contingent
TLDR
- AMD's 10-Q puts a price of about $2.9B on its pending Taalas deal, including up to $1.4B contingent.12
- Announced on 6 August without a price, the cash-and-stock deal is due to close by end-2026.23
- Taalas, a Toronto maker of chips with AI models hardwired in, has raised more than $200M since 2023.145
AMD's quarterly filing values its acquisition of Taalas at about $2.9B in cash and stock, including contingent consideration of up to about $1.4B.2 The Globe and Mail reported the figure on 4 November, calling it one of the largest takeovers of a Canadian technology company; that ranking is the paper's own and has not been checked here.1 AMD announced the agreement on 6 August without a price, and its third-quarter results release on 3 November gave none either.23 The filing does not give the cash and stock split or say what the contingent portion depends on, and the Globe describes the conditions as unspecified.12 Closing is expected by the end of 2026, subject to regulatory approvals and customary conditions.2 The same filing covers AMD's separate $8.2B all-stock deal for World Labs, which is a different transaction.2
Taalas, founded in 2023 and based in Toronto, designs inference chips with an AI model hardwired into the silicon instead of a general-purpose design.34 Its current chip runs a small version of Meta's Llama 3.1 on an older TSMC process, and each chip serves a single model.4 CNBC reports that Taalas says it can turn a new model into silicon in about two months.4 AMD says it plans to combine Taalas technology with its Instinct GPUs.3 The founders are Ljubisa Bajic, who also founded Tenstorrent, Lejla Bajic and Drago Ignjatovic.6 The Globe puts headcount at 24 earlier this year, and none of the sources names a customer or revenue.14
On funding, Taalas announced $169M on 19 February 2026 from investors including Quiet Capital, Fidelity and Pierre Lamond, and no source states who led it.5 It had earlier announced about $50M across two rounds led by Lamond and Quiet Capital on 5 March 2024.7 Total raised is reported as $219M by CNBC and Reuters, and as more than $225M by the Globe.145 From company filings, the Globe works out that Series B shares issued in November 2025 at $94.51 implied a valuation above $750M, which it calls a big markup on the headline price.1 What investors will actually receive is not reported.12
On investors in the same field, BetaKit notes that Lamond was listed as an independent investor, while Eclipse Ventures, where he is an adviser, has backed Tenstorrent.6 The Globe says Fidelity was also named in Tenstorrent's $1.5B financing last month.1 The sources do not show other AI chip investments by Quiet Capital.157
Why it matters: a venture-backed chip start-up founded in 2023 is being bought for a headline $2.9B, but up to about half of that is contingent, so the certain payout to investors may be well below the figure and is not yet disclosed.12 The deal was first announced in August, so the news here is the price rather than the acquisition itself.23
