IonQ to acquire cybersecurity startup Elisity in up to $1.3 billion all-stock deal

· VC Investment

TLDR

  • IonQ agreed to buy Zero Trust cybersecurity startup Elisity in an all-stock deal worth up to $1.3 billion.12
  • Investors look wary of IonQ funding growth through serial, equity-financed acquisitions, as shares fell more than 9 per cent.2
  • The deal is expected to close in the fourth quarter, pending regulatory approval.2

IonQ, the quantum computing company, said Monday it has agreed to buy Elisity, a Zero Trust network security startup, in an all-stock transaction valued at up to $1.3 billion, with up to $150 million of that tied to performance-based earnouts.12 The deal is expected to close in the fourth quarter, pending regulatory approval.2

Elisity, founded in San Jose in 2018, sells identity-based microsegmentation technology that helps enterprises contain attackers' lateral movement inside breached networks, serving more than 100 global customers across sectors including healthcare and critical infrastructure.1 The company's $37 million Series B, led by Insight Partners in 2024, added to earlier backing from investors including TCV, Atlantic Bridge Capital and Chevron Technology Ventures, bringing its total venture funding to about $78 million.3 IonQ said Elisity has been doubling its revenue and customer base year over year with zero customer churn among deployed accounts.1

For IonQ, the acquisition extends a buying spree that has included the $1.8 billion purchase of chipmaker SkyWater Technology in July and the earlier acquisition of UK quantum startup Oxford Ionics, as the company builds what it calls a vertically integrated, full-stack quantum platform spanning computing, networking, sensing and cybersecurity.1 IonQ chairman and CEO Niccolo de Masi tied the deal to the approach of "Q-Day," the point at which quantum computers could break today's encryption, and cited June 2026 White House executive orders on quantum readiness and critical-infrastructure cybersecurity as part of the urgency.1

Markets reacted negatively: IonQ shares fell more than 9% on the day of the announcement, and the decline dragged down other quantum computing stocks including Rigetti Computing and D-Wave Quantum, as investors weighed the dilution from an all-stock deal against its strategic rationale.2

Why it matters: it hands Elisity's venture backers, led by Insight Partners, a clean exit through a public acquirer's stock rather than cash, even as the market's sharp negative reaction shows investors are growing wary of IonQ funding growth through serial, equity-financed acquisitions rather than organic expansion.
