Shield AI agrees to buy counter-drone radar maker Echodyne for $5.3B, backed by a $2.5B raise including a $1B Series H at $28.8B
TLDR
- Shield agreed to buy radar maker Echodyne for $5.3B, up to $500M of it contingent; close expected early 2027.1
- Shield is raising $2.5B to support it: a $1B Series H at $28.8B post-money, $1B Blackstone structured equity, $500M debt.1
- Disruptive and Innovation X Capital co-lead the Series H; press reports say the financing lapses if the deal fails.12
Shield, the defence technology company also reported as Shield AI, announced on 5 November a definitive agreement to acquire Echodyne Corp., a maker of compact radars, in a transaction valued at $5.3B.1 Of that, $4.8B is paid and issued at closing and up to $500M is contingent on Echodyne meeting agreed performance targets, so the "up to $5.3B" wording in some headlines overstates what is guaranteed.12 The companies have not disclosed the split between cash and Shield stock.3 Bloomberg reported the deal shortly before the release, saying Shield planned to announce it on Thursday.4 Closing is expected in early 2027, subject to regulatory approvals that none of the sources names, and GeekWire reports that the $2.5B financing falls away if the deal does.12
The $2.5B being raised to support the transaction has three parts: a $1B Series H at a $28.8B post-money valuation, a $1B structured equity investment from funds managed by Blackstone, and $500M of debt led by JPMorgan Chase Bank as sole arranger.1 Only the Series H is priced equity, so a "$2.5B at $28.8B" description blurs the structure.1 The Series H is co-led by Disruptive and Innovation X Capital, with Advent, the Strategic Investment Group of JPMorganChase's Security and Resiliency Initiative, Snowpoint Ventures, Apandion, Center15 Capital and others; amounts per investor are not disclosed.1 The valuation is more than double the $12.7B reached in March, and Echodyne is Shield's fifth acquisition and its largest.2
Echodyne designs compact, solid-state radars using its patented metamaterials electronically scanned array technology, and says its radars are built into hundreds of counter-drone and security systems in more than 40 countries.1 Both companies expect triple-digit revenue growth this fiscal year; no revenue figure is given in the sources reviewed.13 In September Echodyne received a contract with a $250M ceiling from Joint Interagency Task Force 401 to supply counter-drone radar, running over 36 months.15 That figure is a maximum, not guaranteed spend.3 Echodyne recently opened an 86,350 square foot factory, a $40M investment, that can produce about 30,000 radars a year.1 It has about 400 staff, and a Shield spokesperson said no layoffs are planned.2 The spokesperson also said no specific aircraft integrations are announced and that the RTX radar work on Shield's X-BAT aircraft is separate from this acquisition.6
Echodyne's backers are the sellers in this deal. Its 2014 spin-out from Intellectual Ventures raised $15M in a round led by Bill Gates and Madrona.2 Madrona says that was $15M at a $24M pre-money valuation, with Madrona investing $5.5M.7 A $135M round in June 2022 was co-led by Baillie Gifford and Bill Gates, with Northrop Grumman, NEA, Madrona, Vulcan Capital and Vanedge Capital participating.8 GeekWire puts total funding at about $200M and PitchBook's valuation after the 2022 round at $485M.2 Madrona, which has a seller-side interest, calls the deal the second-largest acquisition of a private venture-backed company in Washington state history.7 Sale proceeds by investor are not disclosed.
On the buyer's side, Disruptive already backed Shield: The Next Web lists ElevenLabs, Databricks and Shield AI in its portfolio and reports that it closed a $10B fund on 27 October to back AI, defence and software start-ups.9 Innovation X took part in Shield's $1.5B Series G in July, according to its own release, and describes itself as a late-stage venture firm investing across defence technology, fintech, AI, infrastructure and the space economy, with over $4.5B under management.10 No counter-drone or radar investment by either firm turned up in the sources reviewed.
Why it matters: a defence start-up valued at $28.8B is paying $5.3B for a counter-drone radar maker that PitchBook last valued at $485M, which shows late-stage investors funding counter-drone sensing at scale, though the cash and stock mix, revenue and approvals are undisclosed and the $250M contract is only a ceiling.123
